Successful Resolution of a 19-Year Corporate Dispute

Our firm has successfully assisted an individual who is a shareholder and the managing director of a company that holds shares in another company operating a hotel in Southwestern Bulgaria. We advised the client in connection with a complex corporate dispute that gave rise to numerous interconnected court proceedings over a period of 19 years.

The dispute involved a broad range of legal issues and proceedings, including property disputes, proceedings concerning the protection of shareholder rights, contractual claims, assignment and enforcement of receivables, security measures, negotiations between shareholders, and a number of other related matters.

Throughout this extensive period, our team provided comprehensive legal assistance, extending beyond litigation and representation before the courts to the development and implementation of an overall legal strategy aimed at effectively protecting and ultimately securing our client’s rights and interests.

We are particularly proud that one of the proceedings gave rise to a landmark ruling by the Bulgarian Supreme Court of Cassation contributing to the development of the law on the exclusion of a shareholder where the full value of subscribed shares issued in a capital increase has not been paid.

The successful conclusion of this long-standing dispute is the result of the sustained commitment, persistence and teamwork of a number of our colleagues, some of whom are no longer part of our firm. We are grateful to all of them for their tireless work over the years and for maintaining their commitment to achieving a positive outcome, including at times when such an outcome appeared particularly difficult to achieve.

The team was led throughout the entire 19-year period by our Managing Partner, Boyko Bratanov, whose strategic guidance and extensive litigation experience were instrumental to the successful resolution of the matter. Mr. Bratanov also personally participated in a significant number of the proceedings.
